PUBLIC OFFER AGREEMENT

1. General Provisions

1.1. This document constitutes a public offer (hereinafter referred to as the "Offer") made by Kosmo Parts – FZCO (hereinafter referred to as the "Seller") to any legal entity or individual registered on the website: https://kosmo-parts.com and placing orders on the said website (hereinafter referred to as the "Buyer"). The Seller and the Buyer, collectively referred to as the "Parties," hereby enter into this Supply Agreement (hereinafter referred to as the "Agreement") under the following terms and conditions.

1.2. Acceptance of this Offer shall be effectuated through registration on the website and/or placing an order through the personal account on the Seller's website, which shall constitute acceptance of the Offer in accordance with the legislation of the UAE.

2. Subject Matter of the Agreement

2.1. The Seller undertakes to transfer ownership of goods to the Buyer, and the Buyer undertakes to accept and pay for such goods under the terms and conditions of this Agreement.

3. Terms of Operation

3.1. The Buyer is obligated to complete registration on the website https://kosmo-parts.com.

3.2. The Buyer undertakes not to disclose their account credentials to third parties. In the event of suspected unauthorized use of the account, the Buyer shall immediately notify the Seller and change the password.

3.3. The discount rates are determined based on the Buyer's total turnover:

3.4. Orders shall be placed through the personal account or by sending a confirmed offer to the designated email address, indicating the client code and delivery method.

3.5. The placement of orders and shipment of goods may be suspended in the event of payment terms violation.

3.6. The Seller shall bear no responsibility to the Buyer's end customers.

3.7. All claims regarding the goods must be submitted by the Buyer in the prescribed form with supporting materials in accordance with clause 7.3 of this Agreement and sent to the email address: sales@kosmo-parts.com.

4. Payment Terms and Settlement Procedures

4.1. Payment methods and bank details are available in the Buyer's personal account or can be provided upon request through the manager on the website.

4.2. The Buyer is required to make an advance payment of 20% of the order amount. This amount shall be retained until full payment of the order and its shipment.

4.3. Shipment of goods shall be carried out exclusively after full payment.

4.4. Buyers have the right to combine orders within a single client account (Representative) to obtain additional discounts.

4.5. The Buyer has the right to make payments from third parties, provided that the Buyer's code is mandatory indicated in the payment details. In the event of a payment without the Buyer's code, the Seller reserves the right not to credit the funds to the Buyer's balance until a clarification letter is provided. The Seller shall be informed through the manager or the official email address: sales@kosmo-parts.com.

4.6. The minimum weight of goods for shipment is: air freight — 2 kg, sea freight — 10 kg. The minimum order amount is 500 USD.

4.7. All bank commissions shall be paid by the Buyer. The amount credited to the Buyer's balance will be displayed in their personal account.

4.8. In case of payment by cryptocurrency or bank transfer, the Buyer must preliminarily coordinate the payment details with the manager.

4.9. All settlements shall be made in dollars (USD). In case of payment in another currency, conversion shall be carried out at the exchange rate established by Kosmo Parts - FZCO on the date of shipment of goods or payment execution.

5. Delivery Terms

5.1. The price of goods is fixed at the time of order placement and includes all applicable discounts, and delivery is carried out under the terms of INCOTERMS 2020 EXW.

5.2. The transfer of ownership and risk of accidental loss of goods from the Seller to the Buyer occurs at the Seller's warehouse at the moment of transfer of goods to the Buyer/ Buyer's authorized representative or the first carrier in accordance with INCOTERMS 2020 EXW.

5.3. Delivery shall be carried out through the carrier specified by the Buyer, unless an additional transportation contract has been concluded.

5.4. When requesting a change in the delivery method, the box containing the requested item will be moved to the warehouse for subsequent processing. An additional fee of 5% of the cost of the packed box shall be charged for repacking the goods in accordance with the new delivery method. After payment for these services, the goods will be repackaged and prepared for shipment. The time required for this procedure ranges from 2 to 7 business days, depending on the order volume.

5.5. In the event of transferring purchased goods to third parties, the Buyer is obligated to independently inspect the goods within the established timeframe prior to their dispatch. Failure to conduct such inspection within the specified period shall be deemed as confirmation of the goods' conformity to the order and the absence of any claims regarding their quality and completeness.

5.6. Any damage occurring during transportation and not related to manufacturing defects shall be the responsibility of the freight insurer. The Seller shall not be liable for such damage after the goods have been transferred for shipment.

6. Storage of Goods at the Warehouse

6.1. Goods shall be stored free of charge at the Seller's warehouse for up to 28 calendar days. Further storage of unpaid goods shall be subject to a fee established by the Seller, based on the weight and dimensions of the cargo.

6.2. In case of the Buyer's refusal to accept the goods before the delivery deadline, a penalty of 100% of the goods' value will be charged from the Buyer's balance. In such case, the amount equal to 100% of the goods' value is non-refundable, and if only 20% of the cost has been debited at the time of the Buyer's refusal of the order, the Seller has the right to debit the remaining 80% from the Buyer's balance in their personal account.

6.3. The sole ground for refusal of goods without the application of penalties stipulated in clause 6.2 shall be an increase in delivery times by twice the maximum period specified on the website. To confirm such refusal, the Buyer must send a request to the Seller at the email address: sales@kosmo-parts.com. Claims regarding violated delivery terms without the corresponding request shall not be accepted. In all other cases of refusal of goods prior to their receipt, the conditions provided for in clause 6.2 of this Agreement shall apply.

6.4. Additional packaging is provided upon the Buyer's request. The cost of such service is established by the Seller and includes the cost of additional materials and labor costs for packaging the goods.

6.5. In the event that the Buyer fails to make full payment and collect the ordered goods within 28 calendar days from the date of notification of their arrival at the Seller's warehouse, the Seller shall have the right to:

(a) retain the amount of the advance payment as compensation for the reservation of goods;

(b) dispose of the goods at its discretion, including selling them to third parties;

(c) for subsequent orders from this Buyer, require full prepayment of 100% of the cost of the goods.

7. Dispute Resolution Procedure

7.1. Disputes shall be resolved through negotiations, and in case of failure to reach an agreement — in the International Commercial Arbitration Court at the Dubai Chamber of Commerce and Industry, in accordance with its regulations. The applicable law shall be the legislation of the United Arab Emirates, and the language of proceedings shall be English.

7.2. The Seller shall not be liable for damage caused to the Buyer due to improper use of goods ordered on the website.

7.3. Claims regarding the goods shall be sent to the email address sales@kosmo-parts.com and shall be considered on an individual basis for each specific case. To submit a claim, it is necessary to provide:

Photos of the part;
Photos of the original packaging;
Photos of the transportation box;
Photos of our and the original stickers.

7.4. In case of claims regarding the quality and completeness of goods, the Seller has the right to request from the Buyer photo, video, and other materials confirming proper acceptance and use of the goods.

7.5. Upon detection of a factory defect, a claim must be submitted by the Buyer along with the materials provided for in clause 7.3 of this Agreement.

7.6. If the part has been installed on a vehicle, the claim will be considered only if there is an inspection report from an official dealer and the original packaging of the part is available.

7.7. Сlaims regarding quality, completeness, or other defects of goods must be submitted within 14 calendar days from the date of receipt of goods by the Buyer or their representative. The fact of receipt of goods shall be confirmed by relevant transport documents or other documents confirming delivery and receipt of goods.

7.8. The time for consideration of a claim is from 10 to 14 business days.

8. Term of Validity and Amendment of the Offer Terms

8.1. The Offer, as well as any amendments thereto, shall come into force from the moment of publication on the Internet at: https://kosmo-parts.com/public-offer and shall remain valid until the Offer is revoked by the Seller.

8.2. The Seller reserves the right to make changes to the terms of the Offer and/or revoke the Offer at any time at its discretion. In the event of amendments to the Offer, such amendments shall come into force from the moment the amended text of the Offer is posted on the website, unless another date for the amendments to come into force is additionally determined.

9. Electronic Messages

9.1. Electronic messages sent from authorized email addresses of the Parties are recognized as having legal force and may be used as evidence in dispute resolution.

10. Personal Data Protection

10.1. The Seller undertakes to protect the Buyer's personal data in accordance with Federal Decree-Law No. 45 of 2021 on Personal Data Protection of the UAE.

10.2. The Buyer gives consent to the processing of their personal data provided during registration and use of the website for the purpose of fulfilling this Agreement.

10.3. The Seller has the right to use the Buyer's personal data to send information about goods, special offers, and promotions, but undertakes not to transfer personal data to third parties without the Buyer's consent, except in cases provided for by the legislation of the UAE.

11. Consent to Receive Messages

11.1. The Buyer gives consent to receive informational and promotional messages from the Seller via the contact details provided by the Buyer (email, phone number, and other means of communication).

11.2. Messages may contain information about new products, special offers, promotions, and other marketing activities.

11.3. The Buyer has the right to refuse to receive messages at any time through settings in the personal account or by sending an appropriate request to customer support.
